Marketplace Optimized Architecture1. Scope of Agreement
This MSA governs the relationship between NorthStarClaim Infrastructure Group and the Subscriber for the deployment of Clinical Inference Hubs. This is a binding commitment aligned with the Microsoft Standard Contract for Marketplace.
2. Financial Responsibility
Subscriber agrees to pay all baseline infrastructure fees and metered overages. The agreed Performance Recovery Fee (up to 40% as defined by the accepted Azure Private Offer) is automatically authorized for all successfully reconstructed and recovered claims as defined in the Service Order.
3. Data Integrity & HIPAA
Subscriber is responsible for the accuracy of all clinical data submitted. NorthStarClaim Infrastructure Group operates as a Business Associate under HIPAA guidelines.
4. Enterprise Sub-Tenant Policy
Partners on the Enterprise Distribution tier are authorized to provision Unlimited Sub-Tenants. Partners assume full legal and operational responsibility for the KYC compliance and BAA execution of their respective sub-tenants. NorthStarClaim Infrastructure Group remains the silent infrastructure provider.
5. Liability Shielding
NORTHSTARCLAIM INFRASTRUCTURE GROUP PROVIDES INFRASTRUCTURE ONLY. WE ARE NOT RESPONSIBLE FOR PAYER DENIALS, AUDITS, OR RECOUPMENTS. SUBSCRIBER INDEMNIFIES NORTHSTARCLAIM INFRASTRUCTURE GROUP AGAINST ALL THIRD-PARTY CLAIMS.
